Key Programme Updates
Buyback Expansion: Airtel Africa entered into an amendment agreement with Barclays Capital Securities Limited, increasing the maximum aggregate discretionary purchase order limit by $15 million—raising it from $50 million to $65 million.
Dual-Tranche Structure: The amended buyback programme operates in two parallel tranches:
Non-Discretionary Tranche: Barclays will independently purchase between $50 million and $60 million worth of ordinary shares.
Discretionary Tranche: Airtel Africa may instruct Barclays to purchase up to $65 million worth of ordinary shares at its discretion.
Capital Reduction: All shares acquired through the buyback programme will be cancelled to reduce the company’s share capital.
