WorldStage– UAC of Nigeria PLC (“UAC”) has entered into a definitive agreement to sell its entire 73.29% majority shareholding in Livestock Feeds PLC (“LSF”) to Sunbeth Treenuts and Sesame Limited (“Sunbeth”). The all-cash deal is valued at ₦19.5 billion, representing ₦8.85 per share.
According to a corporate filing submitted to the Nigerian Exchange Limited (NGX), the Securities and Exchange Commission, and the investing public on September 30, 2026, the transaction remains subject to key conditions precedent, including formal approvals from regulatory authorities.
“Completion of the Transaction remains subject to the satisfaction of conditions precedent, including the receipt of all required regulatory approvals,” stated Rose Hamis, Company Secretary of Livestock Feeds PLC, in the public notice. The company confirmed it will issue further announcements to the market once the transaction is finalized.
In the interim, Livestock Feeds PLC has advised shareholders and market participants to exercise caution when trading in the company’s shares.
Strategic Significance
The acquisition marks a major strategic expansion for Sunbeth, an agribusiness group focused on integrating African agricultural production and market supply chains. For UAC, the sale represents an exit from its controlling position in Livestock Feeds as part of its ongoing capital allocation and portfolio optimization strategy.
Upon completion, Sunbeth will assume control of Livestock Feeds’ operations across Nigeria, which include key milling and distribution assets in Ikeja, Aba, and Kano State.
