WorldStage– Shareholders of Honeywell Flour Mills Plc have approved a final dividend payment of N0.20 per 50 kobo ordinary share for the financial year ended March 31, 2026, alongside several core governance resolutions during the company’s 17th Annual General Meeting (AGM) held on Wednesday, September 16, 2026.
According to a formal corporate disclosure signed by Company Secretary Osomomen L. Olukoya and Director Nassib Raffoul, and submitted to the Nigerian Exchange Limited (NGX) on September 17, 2026, all resolutions presented to shareholders were duly passed.
Key Highlights from the Meeting Resolutions:
Dividend Approval: Shareholders endorsed the N0.20 final dividend payout per share, payable to all members registered in the company’s Register of Members as of August 28, 2026.

Financial Performance Review: The Audited Financial Statements for the year ended March 31, 2026, together with the reports of the Directors, Auditors, and Audit Committee, were received and adopted.
Board Re-elections: Retiring directors Mr. Omoboyede Olusanya, Mr. Anders Kristiansson, and Mr. Sadiq Usman were re-elected to the Board of Directors by rotation.
Statutory Audit Committee: Shareholders elected Mrs. Kate Osamede Iketubosin, Mr. Anders Kristiansson, and Mr. Adekanmbi David Ademola to serve as representatives on the Statutory Audit Committee.
General Mandate Renewal: Pursuant to Rule 20.8 of the NGX Rulebook, shareholders granted a general mandate authorizing the company to procure goods/services and execute recurrent transactions necessary for daily operations with related parties under normal commercial terms. All related-party transactions previously executed in 2026 prior to the AGM were formally ratified.
Non-Executive Director Remuneration: Approval was granted for the remuneration structure of the company’s Non-Executive Directors.
All presented resolutions were passed via poll, with the exception of the election of shareholder representatives to the Statutory Audit Committee, which was decided by a show of hands.
