WorldStage– Shareholders of Mutual Benefits Assurance Plc at the company’s 30th Annual General Meeting, held virtually on Thursday, 6 August 2026, approved the payment of a dividend and passed a series of ordinary resolutions covering the financial statements, board re-elections, auditor remuneration, and related-party transactions.Financial statements and dividend
In an announcement issued by Jide Ibitayo, Company Secretary, the Audited Financial Statements for the year ended 31 December 2025, together with the reports of the Directors, Auditors and Statutory Audit Committee, were presented and received by shareholders.
A total dividend of ₦802,464,895.88, representing 4 kobo per ordinary share of 50 kobo each, was approved for payment to shareholders whose names appeared in the Register of Members as at the close of business on 21 July 2026.Board and auditors.
Shareholders also approved the retirement and re-election of Mr. Lateef Bakare, Mrs. Wunmi Eniola-Jegede and Mr. Abidemi Sonoiki as Directors of the company.
The Board of Directors was authorised to fix the remuneration of the Auditors, KPMG Professional Services, for the financial year ending 31 December 2026.
The disclosure of the remuneration of Managers, as contained in the Annual Report, was noted.
Those elected and appointed as members of the Statutory Audit Committee include Mr. Osato Aideyan, Mr. Olabisi Fayombo, Dr. Anthony Omojola, Mr. Adesoye Olatunji, and Mrs. Asia El-Rufai.
The remuneration of the Non-Executive Directors was approved at ₦41 million for the financial year ending 31 December 2026. Shareholders also approved the renewal of the general mandate for related-party transactions.The resolutions were proposed and duly passed at the virtual meeting.
