WorldStage– Logistics and express delivery provider Red Star Express Plc has officially announced that shareholders endorsed a final dividend payment of 45 kobo per ordinary share alongside key corporate governance resolutions during its 33rd Annual General Meeting (AGM) held virtually on Thursday, September 17, 2026.
According to a regulatory filing submitted to the Nigerian Exchange Limited (NGX) on September 18, 2026, all ordinary and special resolutions presented to the shareholders were duly passed and approved.
Key Highlights from the Meeting Resolutions:
Financial Reports & Dividend Approval: Shareholders received and adopted the Audited Financial Statements for the fiscal year ended March 31, 2026, alongside the reports of the Directors and Audit Committee, while formally approving the 45 kobo per share dividend payout.
Board Governance & Re-elections: Mr. Peter Surulere Aletor and Mr. Chukwuemeka Ndu were formally re-elected to serve as Non-Executive Directors on the Board.
Audit Appointments & Committee Setup: Shareholders authorized the Board of Directors to fix the remuneration of external auditors KPMG. Additionally, Mr. Folorunso Olajide, Mr. Kolawole Ganiyu Amoo, and Mrs. Adetunji Bukola Rebecca were elected as shareholders’ representatives on the Statutory Audit Committee, joining Board representatives Mr. Sulaiman Koguna and Mr. Chukwuemeka Ndu.
Non-Executive Directors’ Remuneration: Approval was granted fixing the remuneration for Non-Executive Directors at ₦11,000,000.00 for the financial year ending March 31, 2027.
General Mandate Renewal: In compliance with NGX rules governing related-party disclosures, shareholders approved a General Mandate authorizing the company to continue executing recurrent transactions necessary for day-to-day operational needs with related parties under standard commercial terms.
