WorldStage– Nigerian Enamelware PLC has officially announced its 66th Annual General Meeting (AGM), scheduled to take place on Thursday, November 12, 2026, at 10:00 a.m. The meeting will be hosted at the Lekan Are Hall, Kakanfo Inn & Conference Centre, Ibadan, Oyo State.
Key Agenda and Business
The AGM will address several core operational and corporate governance matters:
Financial Statements: The company will present its Audited Financial Statements for the fiscal year ended April 30, 2026, alongside reports from the Directors, Auditors, and Audit Committee.
Board Re-elections: Shareholders will vote on the re-election of two retiring directors: Mr. Yujun Tang and Mr. Kevin Cao Liang.
Auditor & Audit Committee Decisions: Authorizations will be sought for the Directors to set auditor remuneration, and elections will be held for members of the Statutory Audit Committee.
Special Business: Shareholders will review and vote on renewing the general mandate for related-party transactions covering day-to-day operations and procurement, adhering to Nigerian Exchange Limited (NGX) rules. Remuneration for Non-Executive Directors and Managerial disclosure will also be addressed.
Shareholder & Voting Guidelines
Closure of Register: The company’s Register of Members will be closed from Monday, October 26, 2026, to Friday, November 6, 2026 (both days inclusive), to finalize member records.
Proxy Appointments: Shareholders unable to attend may appoint a proxy. Completed and stamped proxy forms must be submitted to Greenwich Registrars & Data Solutions in Yaba, Lagos, or via email no later than 48 hours prior to the meeting. The company will cover stamping costs.
Voting Restrictions: In compliance with NGX regulations, related parties and interested persons are required to abstain from voting on the related-party transaction mandate renewal.Questions & Audit Nominations: Shareholders wishing to nominate members for the Statutory Audit Committee must provide written notice at least 21 days prior to the AGM. Questions regarding the company’s financial standing may be submitted in writing up to one week before the event.
