WorldStage– Underwriting firm Coronation Insurance Plc has announced that its shareholders have formally approved its Audited Financial Statements for the year ended December 31, 2025, alongside the re-election of retiring directors and the re-appointment of its external auditors.
According to a corporate disclosure signed by Company Secretary Mary Agha and submitted to the Nigerian Exchange Limited (NGX), the resolutions were passed at the company’s 68th Annual General Meeting (AGM) held virtually on Thursday, September 24, 2026.
Key Highlights of the AGM Resolutions:
Financial Statements Approval: Shareholders received and approved the Audited Financial Statements for FY 2025, together with the reports of the Directors, Auditors, Board Evaluation Consultants, and Audit Committee.
Director Re-Elections: Non-Executive Director Mr. Olusegun Ogbonnewo and Independent Non-Executive Director Mrs. Titilayo Osuntoki were both re-elected to the board following their retirement by rotation.
External Auditor Re-Appointment: Professional services firm Ernst & Young was re-appointed as the company’s External Auditor for the 2026 financial year, with the directors authorized to determine their remuneration.
Statutory Audit Committee Election: Shareholders approved the composition of the Statutory Audit Committee, comprising shareholders’ representatives Mr. Chinwendu Achara, Mrs. Mary Joke Shofolahan, and Mr. Adeniyi Adebisi, alongside board nominees Mrs. Stella Ojekwe-Onyejeli and Mrs. Titilayo Osuntoki.
Related-Party Mandate Renewal: Shareholders granted a general mandate authorizing the company and its related entities to enter into recurrent operational transactions with related parties or interested persons on normal commercial terms throughout the upcoming financial year.
Board Appraisal Authorization: The Board of Directors was authorized to engage an independent consultant to conduct the Annual Board Performance Appraisal for the financial year ending December 31, 2026.
